Website & Platform Terms of Use

This website and online platform (Site) is operated by LumiLife Pty Ltd (ABN 57 662 509 131) (LumiLife, we, our or us). It is available at https://lumilife.com.au/ and may be available through other addresses, embedded booking pages, partner-network pages or other channels.

These Terms govern use of the Site by visitors, customers and other users. If you create or operate a Service Provider account, the LumiLife Provider Agreement also applies. To the extent of an inconsistency concerning a Provider account or Provider subscription, the Provider Agreement prevails.

1. ACCEPTANCE AND ELIGIBILITY

1.1 Consent. By accessing and/or using our Site, creating an account, making an enquiry or booking, or otherwise using a LumiLife feature, you agree to these Terms and our Privacy Policy. Please read these Terms carefully and immediately cease using the Site if you do not agree to them.

1.2 Eligibility. You must be at least 18 years old and have legal capacity to enter into these Terms. If you use the Site on behalf of a business or other organisation, you warrant that you are authorised to bind that organisation in relation to your use of the Site.

2. ABOUT LUMILIFE AND OUR ROLE

2.1 Platform. LumiLife operates an online business-services directory, discovery, enquiry, scheduling and booking platform that enables users to find and connect with independent service providers (Providers) offering professional and business-related services.

2.2 Independent Providers. Providers are independent third parties. Unless expressly stated otherwise, LumiLife does not employ, engage, partner with or act as agent for a Provider and is not a party to the agreement between a customer and a Provider for the Provider’s services.

2.3 No endorsement or guarantee. A Provider’s inclusion, profile, category, partner-network visibility, review, badge or other presence on the Site does not constitute an endorsement or guarantee by LumiLife. Except where expressly stated, LumiLife does not independently verify every statement, qualification, licence, membership, insurance policy, experience claim, price or representation made by a Provider.

2.4 No professional advice. Content on the Site is for general information and discovery purposes only. LumiLife does not provide legal, accounting, financial, insurance, employment, marketing, business, health or other professional advice through the Site. You should obtain advice appropriate to your circumstances where required.

2.5 Your assessment. You are responsible for making your own enquiries and deciding whether a Provider and its services are suitable for your needs, including checking any qualifications, registrations, licences, insurance or professional memberships relevant to the service you are obtaining.

3. INFORMATION ON THE SITE

3.1 General information. The Content is not comprehensive and does not take into account your specific needs, objectives or circumstances. While we use reasonable attempts to ensure the accuracy and completeness of Content created by LumiLife, we make no representation or warranty in relation to third-party or Provider Content, to the maximum extent permitted by law.

3.2 Provider information. Providers are responsible for keeping their profiles, services, prices, availability, locations and other information accurate and up to date. Information may change without notice.

3.3 Results. LumiLife does not warrant that using the Site, contacting or engaging a Provider, or using any service will produce any particular business, financial, marketing, career, operational or other outcome.

4. LICENCE TO USE OUR SITE

4.1 Licence. We grant you a non-exclusive, royalty-free, revocable, worldwide, non-transferable licence to use our Site in accordance with these Terms for lawful personal or business purposes. All other uses are prohibited without our prior written consent.

4.2 No database extraction or competing use. You must not systematically copy, scrape, harvest, index, extract or reuse Provider listings, directories, pricing, reviews, Content or other Site data for the purpose of creating or improving a competing directory, marketplace, lead-generation product, database, artificial-intelligence model or commercial service without our prior written consent.

5. ACCOUNTS AND SECURITY

5.1 Account information. If you create an account, you must provide information that is true, correct, complete and current and keep it up to date.

5.2 Credentials. You are responsible for maintaining the confidentiality and security of your login credentials and for activity carried out through your account, except to the extent the activity results from a security failure for which LumiLife is legally responsible.

5.3 Reasonable security measures. You must use reasonable security measures for your account, including a strong unique password or passphrase, multi-factor authentication where offered, secure devices and current software, and you must not knowingly share credentials with an unauthorised person.

5.4 Suspected compromise. You must promptly notify us if you know or reasonably suspect that your account, credentials, payment details or communications have been compromised or used without authority.

5.5 Payment and impersonation scams. You should independently verify any unexpected request to change payment details, transfer funds, disclose credentials or provide sensitive information. Do not rely solely on an email, text message or external message purporting to come from LumiLife or a Provider when the instruction is unusual or inconsistent with the Site.

6. PROHIBITED CONDUCT AND CYBER SECURITY

6.1 Prohibited conduct. You must not do or attempt to do anything that is unlawful, prohibited by laws applicable to the Site, materially interferes with the Site or another user, or is reasonably likely to harm LumiLife, another user or the security or integrity of the Platform, including:

(a) breaching an individual’s privacy, confidentiality, intellectual property or other legal rights, including uploading personal information without authority;

(b) defaming, harassing, threatening, menacing, abusing, misleading, impersonating or deceiving another person;

(c) tampering with, modifying, reverse engineering, disrupting or overloading the Site or any connected system, except to the extent a right cannot lawfully be excluded;

(d) introducing or transmitting malware, ransomware, viruses, trojan horses, worms, malicious scripts, time bombs or other code intended to damage, disable, intercept, alter or obtain unauthorised access to systems, data or Personal Information;

(e) attempting to gain unauthorised access to accounts, administration areas, databases, APIs, servers or other systems, including through password attacks, credential stuffing or use of compromised credentials;

(f) probing, scanning or testing the vulnerability or security of the Site or associated systems without our prior written permission;

(g) conducting denial-of-service activity, automated attacks, fraudulent bookings, fraudulent payment activity, chargeback abuse or other activity intended to disrupt or exploit the Site;

(h) using bots, crawlers, scrapers or automated tools to access or extract Site data contrary to these Terms;

(i) using Site information or contact details for spam, unsolicited bulk marketing, phishing, scams or unlawful direct marketing; or

(j) facilitating, encouraging or assisting another person to do any of the above.

6.2 Protective action. Where we reasonably believe an account or activity poses a security, fraud, legal or platform-integrity risk, we may take proportionate steps such as restricting access, resetting credentials, suspending an account, preserving relevant records or referring the matter to a payment provider, hosting provider, regulator or law-enforcement body where lawful and appropriate.

7. USER CONTENT

7.1 User Content. You may be permitted to post, upload, publish, submit or transmit information, reviews, images, documents, business details or other content (User Content) through the Site.

7.2 Responsibility. You are solely responsible for User Content you make available. You warrant that you own or have all rights, licences, consents and permissions needed to provide it and that the User Content and our permitted use of it will not infringe third-party rights or breach any law.

7.3 Licence. You retain ownership of your User Content. You grant us a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to host, store, reproduce, format, adapt, display, communicate and distribute the User Content to the extent reasonably necessary to operate, improve and promote LumiLife, the Site and relevant Provider listings. This licence does not transfer ownership of your User Content to LumiLife.

7.4 Moderation. We do not endorse or approve User Content. We may remove, restrict or decline to publish User Content where we reasonably consider it unlawful, misleading, fraudulent, defamatory, irrelevant, unsafe, infringing, contrary to these Terms or otherwise likely to expose LumiLife or users to material risk.

7.5 AI-assisted content. If you use artificial intelligence or other automated tools to create User Content, you remain responsible for its accuracy, legality, originality, confidentiality and compliance with these Terms.

8. REVIEWS AND FEEDBACK

8.1 Genuine reviews. Reviews must reflect the reviewer’s genuine experience and opinion and must not be fake, misleading, purchased, fabricated or manipulated.

8.2 Conflicts and incentives. A reviewer must not misrepresent a personal, employment, family or commercial connection with a Provider. Any incentive offered for a review must not be conditional on the review being positive and must be disclosed where required by law.

8.3 Review moderation. We may investigate complaints about reviews and may remove or restrict a review where we reasonably consider it fake, misleading, unlawful, defamatory, abusive, irrelevant or otherwise in breach of these Terms. We do not promise to verify every review and do not guarantee that every review is accurate.

9. ENQUIRIES, BOOKINGS AND PROVIDER SERVICES

9.1 Separate agreement. When you request, book or purchase a Provider’s service, any contract for that service is between you and the Provider (Provider-Customer Agreement). LumiLife is not a party to that agreement unless we expressly state otherwise.

9.2 Provider terms. Providers may set service descriptions, prices, availability, booking requirements, cancellation and rescheduling terms, deliverables and other service conditions. You should review them before booking or engaging the Provider.

9.3 Consumer rights. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified.

9.4 Disputes with Providers. If a dispute arises about a Provider’s services, including performance, scope, cancellation, refund or quality, you should first contact the Provider and make a genuine attempt to resolve the matter directly. LumiLife may choose to facilitate communication but is not obliged to determine the dispute or compensate either party.

10. PAYMENTS AND THIRD-PARTY PAYMENT SERVICES

10.1 Payment providers. Bookings or subscriptions may use third-party payment providers, including Stripe. Payment services are also subject to the applicable payment provider’s terms and privacy policy.

10.2 Provider customer payments. Where a Provider uses Stripe Connect or another supported payment method for customer bookings, the customer payment is processed for the Provider through that payment service. LumiLife is not a bank and does not provide deposit-taking, escrow or financial-product services.

10.3 Fees. A Provider may be subject to subscription fees, platform commissions or third-party payment-processing fees under the Provider Agreement and its selected Plan. Those fees do not change the customer’s statutory rights against the Provider.

11. INTELLECTUAL PROPERTY RIGHTS

11.1 Ownership. Unless otherwise indicated, we own or licence all rights, title and interest (including intellectual property rights) in the Site and LumiLife-created Content. Your use of and access to the Site does not grant or transfer to you any ownership rights.

11.2 Restrictions. Except as permitted by these Terms or law, you must not copy, reproduce, retransmit, distribute, sell, publish, broadcast, frame, embed, modify, create derivative works from or commercially exploit LumiLife Content without our prior written consent.

11.3 Provider Content. Provider names, logos, trade marks and Provider-created content remain the property of their respective owners and may only be used as permitted by law or the relevant owner.

12. THIRD-PARTY SITES, SERVICES AND INTEGRATIONS

12.1 Third parties. The Site may contain links to, embed functionality from, or integrate with third-party sites and services. Unless expressly stated otherwise, we do not control, endorse or approve and are not responsible for third-party content, availability, security, terms or services.

12.2 Changes. Third-party services and integrations may change, be suspended or become unavailable independently of LumiLife. We may replace, modify or discontinue an integration where reasonably required for technical, security, legal or commercial reasons.

13. PRIVACY AND PERSONAL INFORMATION

13.1 Privacy Policy. Our handling of Personal Information is described in our Privacy Policy, which forms part of the framework governing use of the Site.

13.2 Provider handling. When you give Personal Information directly to a Provider, that Provider may have its own privacy obligations and privacy policy. LumiLife is not responsible for a Provider’s independent handling of Personal Information except to the extent required by law.

13.3 Security incidents. No internet-based service can be guaranteed to be completely secure. LumiLife will take reasonable steps appropriate to its circumstances to protect information and systems and will comply with applicable legal obligations relating to eligible data breaches and notifications.

14. SITE AVAILABILITY, DATA AND SECURITY

14.1 Availability. We use reasonable efforts to operate the Site, but do not warrant that access will be uninterrupted, error-free or available at all times. Maintenance, software updates, hosting issues, cyber incidents, third-party outages and events beyond our reasonable control may affect availability.

14.2 No security guarantee. To the maximum extent permitted by law, we do not warrant that the Site will be free from vulnerabilities, malicious interference or unauthorised access. This does not exclude any obligation we have under applicable privacy, consumer or other law.

14.3 Data. You should maintain your own copies of information that is important to you. We are not responsible for loss or corruption of data to the extent caused by your acts or omissions, your systems, or third-party systems outside our reasonable control.

15. WARRANTIES AND DISCLAIMERS

15.1 Site and Content. To the maximum extent permitted by law, we make no representation or warranty that the Site or Content is complete, accurate, reliable, up to date, suitable for a particular purpose, uninterrupted, error-free or free from malicious code.

15.2 Provider services. To the maximum extent permitted by law, LumiLife is not responsible for the description, quality, safety, legality, performance, delivery or outcome of services supplied by independent Providers.

15.3 At your own risk. Subject to rights that cannot be excluded by law, you use the Site, Content and Provider information at your own risk and should make independent enquiries appropriate to the nature and value of the service you are considering.

16. AUSTRALIAN CONSUMER LAW AND NON-EXCLUDABLE RIGHTS

16.1 Non-excludable rights. Certain legislation, including the Australian Consumer Law, may imply guarantees or confer rights and remedies that cannot lawfully be excluded, restricted or modified (Non-Excludable Rights). Nothing in these Terms is intended to exclude, restrict or modify any Non-Excludable Right.

16.2 Reading down. Any exclusion, limitation, disclaimer or indemnity in these Terms applies only to the maximum extent permitted by law and must be read subject to clause 16.1.

17. LIMITATION OF LIABILITY

17.1 Excluded loss. Subject to clause 16 and to the maximum extent permitted by law, LumiLife is not responsible for indirect, consequential or special loss, loss of profits, opportunity, goodwill, anticipated savings or business interruption arising from use of the Site, third-party integrations or a transaction between a user and a Provider, except to the extent such loss cannot lawfully be excluded.

17.2 Third-party and user-caused incidents. Subject to clause 16 and to the maximum extent permitted by law, LumiLife is not liable for loss to the extent caused by a user’s failure to secure credentials, fraudulent or unauthorised activity originating outside LumiLife’s systems, a Provider’s conduct, or a third-party service outside LumiLife’s reasonable control.

18. INDEMNITY

18.1 User indemnity. To the maximum extent permitted by law, you indemnify LumiLife against loss, liability, claim, damage and reasonable external legal costs to the extent caused by your material breach of these Terms, unlawful conduct, infringement of third-party rights, fraudulent activity or misuse of the Site.

18.2 Limits. You are not required to indemnify LumiLife to the extent the relevant loss is caused by LumiLife’s own negligence, breach of these Terms or unlawful conduct, or to the extent an indemnity cannot lawfully be imposed.

19. SUSPENSION, DISCONTINUANCE AND TERMINATION

19.1 Suspension or exclusion. We may suspend, restrict or exclude a user from the Site where reasonably necessary to address a material breach, security risk, suspected fraud, unlawful activity, non-payment, repeated misuse or material risk to LumiLife or other users. Where reasonably practicable, we will give notice and an opportunity to remedy a remediable breach.

19.2 Discontinuance. We may discontinue or materially change all or part of the Site. Where a change materially affects a paid service, the Provider Agreement or applicable subscription terms will govern notice and any available cancellation rights.

19.3 Survival. Any provisions which by their nature should survive termination, including intellectual property, limitations of liability, dispute provisions and accrued rights, continue to apply.

20. DISPUTES

20.1 Notice. If a dispute arises between you and LumiLife in connection with these Terms, the party claiming there is a dispute must give written notice to the other party setting out the details of the dispute and a proposed resolution.

20.2 Good-faith resolution. The parties must make a genuine attempt to resolve the dispute in good faith before commencing court proceedings, except where urgent interlocutory or injunctive relief is required or a party is entitled to pursue another remedy without first undertaking that process.

20.3 Provider disputes. A dispute between a customer and a Provider about Provider services is governed by the Provider-Customer Agreement and applicable law. LumiLife may assist with communications at its discretion but is not required to act as arbitrator or mediator.

21. SEVERANCE

21.1 Severance. If a provision of these Terms is void, invalid, illegal or unenforceable, it must be read down as narrowly as necessary to make it valid or enforceable. If it cannot be read down, that provision or part is severed without affecting the remainder of these Terms.

22. JURISDICTION

22.1 Governing law. Your use of the Site and these Terms are governed by the laws of New South Wales, Australia. Subject to any rights you have to bring proceedings elsewhere under applicable law, the parties submit to the jurisdiction of courts operating in New South Wales and courts entitled to hear appeals from them.

22.2 Overseas access. The Site may be accessed outside Australia. We make no representation that the Site complies with laws of every jurisdiction outside Australia. If you access it from overseas, you are responsible for complying with laws that apply to you.

23. VARIATIONS

23.1 Changes to Terms. We may vary these Terms from time to time by publishing updated Terms on the Site. If a change is material and applies to registered users, we will take reasonable steps to notify affected users before or when the change takes effect. Changes required urgently for law, security or fraud prevention may take effect immediately where reasonably necessary.

23.2 Continued use. If you continue to use the Site after updated Terms take effect, you agree to the updated Terms. If you do not agree, you must stop using the Site and, where applicable, close your account.
